Effective Date: January 1, 2026

1. PURPOSE & NATURE OF RADON MITIGATION

Radon is a naturally occurring radioactive gas. Indoor concentrations vary due to soil, structure, weather, season, and systems beyond Contractor's control. Mitigation systems reduce radon risk but do not eliminate radon or guarantee specific health outcomes.

Client acknowledges and accepts that radon exposure carries inherent risks, and that mitigation systems reduce but do not eliminate those risks. Contractor makes no representation regarding health outcomes.

2. SCOPE OF WORK

Contractor will furnish labor and materials to install a radon mitigation system suited to visible and accessible conditions at the time of installation. Design is based on diagnostic testing and professional judgment.

The scope of work expressly excludes:

- Concealed or latent structural conditions

- Subsurface or variable soil conditions

- Future renovations or mechanical changes

- Utility disruptions, power outages, or acts of nature

Changes beyond the original scope require prior authorization and may incur additional costs.

3. CONDITIONAL PERFORMANCE GUARANTEE (LOWEST LIVABLE LEVEL ONLY)

The system is designed to reduce radon levels to ≤ 3.9 pCi/L at the lowest livable level only, as verified by post-mitigation testing under closed-building conditions using EPA-approved methods.

This guarantee applies only if:

- System has continuous electrical power

- No alteration occurs to HVAC, slab, envelope, or foundation

- Reasonable soil-gas communication exists

- No structural defects are present

- Testing is performed per EPA protocols

The guarantee does not apply to crawlspaces, unfinished areas, attics, or future finished spaces.

4. COMPLIMENTARY ADJUSTMENT & PAID SERVICE CLAUSE

If post-mitigation testing shows radon > 3.9 pCi/L at the lowest livable level, Contractor may offer one (1) complimentary adjustment, limited to the originally installed system configuration.

Complimentary adjustment does not include:

- Additional suction points

- Upgraded fans

- Expanded system design

- New materials or redesign

All service visits, including complimentary adjustments, may incur a standard diagnostic/service fee to cover labor, travel, or admin costs.

5. SYSTEM LIMITATIONS & PAID ESCALATION

Some structures may require enhanced mitigation to reach the target level, including:

- Higher-capacity fans

- Additional suction points

- Advanced sealing

- Electrical or routing changes

Such measures require Client’s approval and are performed at additional cost. Contractor is not obligated to perform unlimited corrections at no charge.

Radon levels exceeding 3.9 pCi/L due to structural, soil, or environmental variability are not considered a failure of workmanship.

6. CLIENT RESPONSIBILITIES

Client agrees to:

- Maintain power to the system

- Avoid system alteration or obstruction

- Notify Contractor of planned renovations

- Provide access for inspection or service

Non-compliance may void warranties or performance guarantees.

7. WARRANTY (WORKMANSHIP)

Contractor warrants workmanship and installed components for seven (7) years from installation.

This warranty:

- Covers workmanship only

- Excludes radon level guarantees

- Excludes manufacturer warranties (governed separately)

Warranty is void if:

- The system is altered, disconnected, damaged, or unpowered

- The building undergoes material structural or environmental change

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Contractor’s total liability is strictly limited to the amount paid by Client for services under this Agreement.

Contractor is not liable for:

- Health outcomes or medical issues

- Environmental or geological variability

- Real estate value impacts

- Incidental, indirect, or consequential damages

This limitation applies regardless of theory (contract, tort, negligence, strict liability, or otherwise), even if Contractor was advised of potential damages. No employee, subcontractor, or agent shall have personal liability.

9. INDEMNIFICATION

Client agrees to indemnify and hold harmless Contractor from claims, losses, damages, or legal expenses arising from:

- Client misuse or modification of system

- Third-party testing, misinterpretation, or results

- Structural or HVAC changes

- Environmental changes or occupant actions

- Injuries or claims by others due to unauthorized alterations

10. PAYMENT TERMS

Payment is due as stated on the estimate or invoice. Title to materials transfers only after full payment.

Contractor may withhold warranties, documentation, or service if payment obligations are not met. Failure to pay may result in service suspension or lien rights.

11. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by Colorado law.

If a dispute arises, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

12. ACCEPTANCE & ONLINE PRESENTATION

Approval of Contractor’s estimate, proposal, invoice, or commencement of work constitutes full acceptance of this Agreement, including any version presented via website or hyperlink.

By signing the estimate or proceeding with services, Client agrees to be legally bound by the terms of this Agreement, whether accessed electronically, in print, or by link.

13. DISCLAIMER OF IMPLIED WARRANTIES

Except as expressly stated, Contractor disclaims all implied warranties, including merchantability or fitness for a particular purpose. Radon mitigation does not eliminate all radon nor guarantee health outcomes.

14. INCIDENTAL DAMAGE, ATTIC & ROOF ACCESS

Client acknowledges that radon mitigation may require physical access to areas including walls, ceilings, floors, attics, and roofing systems. These activities may involve drilling, cutting, sealing, and routing that carry inherent risks to structural and cosmetic elements.

Contractor shall not be liable for any incidental, cosmetic, or structural damage arising during the course of work, including but not limited to:

- Contact with concealed plumbing, electrical, or HVAC systems

- Damage to drywall, ceilings, flooring, insulation, or finishes

- Cracks in foundation or walls from drilling or suction

- Attic access-related damage, including insulation disturbance, framing cracks, or ceiling collapse

- Water intrusion, flashing separation, or roof damage caused by roof jacks or system penetrations

This disclaimer applies to work performed by Contractor and by any employees, subcontractors, or authorized helpers.

Client is solely responsible for identifying and disclosing known or suspected hazards (e.g., water lines, radiant heat, fragile areas, restricted attic space, prior water damage, etc.).

Any repair assistance or goodwill remediation offered by Contractor is voluntary and does not constitute an admission of fault or liability.

To the fullest extent allowed by law, Contractor’s total liability for any damage shall not exceed the total amount paid by Client under this Agreement.
